These Terms of Use ("Terms") govern your access to and use of CalorieClinic.com and any other websites, patient portals, telehealth platforms, electronic communications, forms, scheduling tools, or other online or offline services provided by or through Calorie Clinic Medical Corporation, d/b/a Calorie Clinic ("Calorie Clinic," "we," "us," or "our") that link to or reference these Terms (collectively, the "Services").

Please read these Terms carefully. By accessing or using the Services, creating an account, submitting information, scheduling an appointment, or participating in services offered through Calorie Clinic, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional policies, notices, consents, or agreements applicable to particular Services.

If you do not agree to these Terms, you should not use the Services.

1. Additional Policies and Consents

Your use of the Services may also be subject to additional policies, notices, consents, and agreements, including, as applicable, our:

  • Privacy Policy;

  • Notice of Privacy Practices;

  • Consent to Telehealth;

  • SMS/Text Messaging Terms and Consent;

  • financial responsibility or payment policies;

  • patient consent forms; and

  • other policies or agreements presented to you in connection with particular Services.

These documents are incorporated into these Terms by reference where applicable. If there is a conflict between these Terms and a specific consent, policy, or agreement governing a particular Service, the more specific document will control with respect to that Service to the extent of the conflict.

2. Eligibility

You must be at least eighteen (18) years old and have the legal capacity to enter into a binding agreement to use the Services on your own behalf.

If you access or use the Services on behalf of another individual as that person's legally authorized parent, guardian, conservator, personal representative, or other authorized representative ("Family Member"), you represent and warrant that you have the legal authority to act on that person's behalf and, where applicable, to consent to healthcare services for that person.

Healthcare Services are available only in jurisdictions in which the applicable Provider is appropriately licensed or otherwise authorized to provide the requested care.

Calorie Clinic may determine that certain Services are unavailable or inappropriate for a particular person or location.

3. Medical Services

Calorie Clinic provides healthcare services, including telehealth services, through appropriately licensed healthcare professionals ("Providers").

Providers exercise independent professional medical judgment in evaluating patients and making decisions concerning diagnosis, treatment, prescriptions, testing, referrals, follow-up care, and other healthcare services.

Nothing on the public portions of the Calorie Clinic website, including educational materials, advertisements, questionnaires, eligibility tools, FAQs, or other general information, creates a physician-patient or other healthcare provider-patient relationship.

A treatment relationship is established only as permitted by applicable law and after the appropriate clinical and administrative requirements have been satisfied.

Submitting an intake form, requesting an appointment, paying for a consultation, communicating with Calorie Clinic, or completing an eligibility questionnaire does not by itself guarantee that Calorie Clinic or any Provider will accept you for treatment or provide any particular service, medication, prescription, or treatment plan.

4. Telehealth

Certain healthcare services may be provided through telehealth.

Telehealth may involve the use of electronic communications and information technology to permit communication between a patient and Provider who are in different physical locations. Depending on the circumstances, telehealth may include:

  • video or audio consultations;

  • secure electronic messaging;

  • transmission of medical records or health information;

  • photographs or other images;

  • laboratory or diagnostic information;

  • information obtained from health monitoring devices; and

  • other forms of electronic communication permitted by applicable law.

Telehealth has potential benefits and limitations. Technical failures, interruptions, delays, unauthorized access, or other circumstances may occasionally affect the availability or quality of telehealth services.

Your participation in telehealth services is also subject to Calorie Clinic's applicable Consent to Telehealth.

5. Emergencies

THE SERVICES ARE NOT INTENDED FOR MEDICAL EMERGENCIES.

Do not use the Website, patient portal, text messaging, email, or other Calorie Clinic electronic communications for emergency medical care.

If you believe you are experiencing a medical or psychiatric emergency, call 911 or seek immediate evaluation at the nearest emergency department or other appropriate emergency facility.

Electronic messages may not be reviewed immediately and should not be relied upon for urgent medical needs.

6. No Guarantee of Treatment or Prescription

No particular treatment, medication, prescription, laboratory test, referral, or other healthcare service is guaranteed by your use of the Services.

All medical decisions are made by a Provider based on the Provider's professional judgment, applicable standards of care, available medical information, and applicable federal and state law.

A Provider may determine that:

  • a requested medication or treatment is not medically appropriate;

  • additional medical records or information are required;

  • laboratory or diagnostic testing is required;

  • an in-person examination is appropriate;

  • consultation with another healthcare professional is appropriate;

  • continued treatment through telehealth is inappropriate; or

  • Calorie Clinic's Services are otherwise not appropriate for your medical needs.

A Provider may decline to prescribe or continue any medication when the Provider determines that doing so is medically, legally, or ethically inappropriate.

7. Prescription Medications

Calorie Clinic does not guarantee that you will receive a prescription for any medication.

References on the Website or in advertising to medications, including weight-management medications, are provided for informational purposes and do not constitute a promise that a particular medication will be prescribed or is appropriate for you.

Prescription decisions are made solely after an individualized clinical evaluation by a qualified Provider.

Where clinically appropriate, a Provider may prescribe a medication and transmit the prescription to a pharmacy. Pharmacies and pharmaceutical manufacturers are separate entities, and Calorie Clinic does not control medication inventory, dispensing decisions, pharmacy processing times, manufacturer availability, or medication pricing.

Unless otherwise required or restricted by applicable law, insurance requirements, pharmacy availability, or a particular medication distribution program, patients may request that an eligible prescription be transmitted to a pharmacy of their choice.

8. Weight-Loss Medications and GLP-1 Therapy

Information regarding weight-loss medications, GLP-1 or related medications, or other prescription treatments does not guarantee that any particular medication will be prescribed, available, effective, medically appropriate, or covered by insurance.

Medication eligibility depends on an individualized clinical assessment and may depend on factors including medical history, current medications, diagnosis, body mass index, contraindications, laboratory results, treatment history, insurance requirements, and applicable prescribing standards.

Specific medications, dosages, treatment duration, dose escalation, continuation, and discontinuation are determined by the treating Provider based on professional medical judgment.

Individual results vary. Calorie Clinic does not guarantee any particular amount or rate of weight loss or any other clinical outcome.

9. Insurance Coverage and Benefits

Calorie Clinic may participate with certain health insurance plans. Participation with an insurance plan does not guarantee that a particular service, treatment, medication, laboratory test, or other item will be covered by your plan.

Information concerning insurance eligibility, benefits, estimated patient responsibility, or coverage obtained by Calorie Clinic or provided to you is not a guarantee of payment by your insurer.

Insurance coverage is determined by your health plan in accordance with your specific benefits, medical necessity criteria, network status, formulary, authorization requirements, deductibles, copayments, coinsurance, and other plan terms.

You are responsible for understanding your insurance benefits and for amounts that are properly your responsibility under your health plan and applicable law.

10. Medication Coverage and Prior Authorization

Insurance coverage of prescription medications is determined by the patient's health plan and may change at any time.

Some medications may require prior authorization, step therapy, documentation of particular diagnoses or treatment history, laboratory results, or satisfaction of other insurer requirements.

Calorie Clinic and its Providers may assist with prior authorization requests when appropriate, but submission of a prior authorization request does not guarantee approval.

A Provider's determination that a medication is medically appropriate does not require an insurer to cover or pay for that medication.

Likewise, an insurer's authorization or indication of coverage does not guarantee medication availability, pharmacy dispensing, or any particular out-of-pocket cost.

Calorie Clinic is not responsible for decisions made by health insurers, pharmacy benefit managers, pharmacies, pharmaceutical manufacturers, or other third parties regarding medication coverage, availability, or pricing.

11. Patient Financial Responsibility

You are responsible for charges assigned to you in accordance with applicable law, your insurance benefits, Calorie Clinic's payer agreements, and any financial policies or agreements applicable to your care.

Depending on your coverage and Services received, your responsibility may include applicable copayments, coinsurance, deductibles, non-covered services, or self-pay charges.

You agree to provide accurate and current insurance information and to notify Calorie Clinic of changes in insurance coverage.

Any estimate of your financial responsibility is an estimate only unless expressly stated otherwise. Your insurer's final processing of a claim may result in a different patient responsibility amount.

Nothing in these Terms requires you to pay an amount that applicable law or a binding health-plan agreement prohibits Calorie Clinic from collecting from you.

12. Accuracy of Information

You agree to provide accurate, complete, and current information when using the Services.

This includes, where applicable:

  • your identity and contact information;

  • location at the time healthcare services are provided;

  • medical history;

  • current medications and supplements;

  • allergies;

  • symptoms and medical conditions;

  • laboratory results and medical records;

  • insurance information; and

  • other information reasonably requested in connection with your care.

Providers may rely upon the information you provide when making medical decisions.

You agree to notify Calorie Clinic of material changes to information relevant to your care.

Providing false, misleading, incomplete, or intentionally inaccurate information may interfere with your care and may result in restriction or termination of access to certain Services, subject to applicable law and professional obligations.

13. Accounts and Security

Certain Services may require you to create or access an account.

You are responsible for maintaining the confidentiality of your username, password, one-time passcodes, authentication information, and devices used to access the Services.

You agree not to permit unauthorized persons to use your account or authentication credentials.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

If you believe your account, password, device, or authentication credentials have been compromised, you should promptly notify Calorie Clinic.

14. Electronic Communications

By providing your email address, telephone number, or other electronic contact information, you acknowledge that Calorie Clinic may communicate with you electronically regarding your inquiries, account, appointments, healthcare services, billing, and other service-related matters as permitted by applicable law.

Electronic communications may include email, telephone calls, secure portal messages, and text messages.

Standard message and data rates may apply.

Text messages and ordinary email may not always be encrypted. Although Calorie Clinic takes reasonable measures to protect information as required by applicable law, electronic communications can carry privacy and security risks, including the possibility that another person with access to your device, telephone account, email account, or notifications may view a communication.

Marketing or promotional text messages, where used, are subject to separate consent requirements and applicable law. Consent to receive marketing or promotional text messages is not a condition of purchasing goods or receiving healthcare services from Calorie Clinic.

Your use of text messaging may also be governed by separate SMS/Text Messaging Terms and Consent.

15. Privacy

Calorie Clinic respects the privacy of information entrusted to us.

Our Privacy Policy describes certain practices regarding information collected through the Website and Services.

Protected health information may also be subject to Calorie Clinic's Notice of Privacy Practices and applicable federal and state healthcare privacy laws.

Please review the Privacy Policy and Notice of Privacy Practices carefully.

16. General Website Information Is Not Individual Medical Advice

Publicly available information provided through the Website, including information regarding medical conditions, weight management, medications, nutrition, insurance coverage, treatment options, or other health-related subjects, is provided for general educational and informational purposes.

Such information is not intended to constitute individualized medical advice, diagnosis, or treatment and should not be relied upon as a substitute for consultation with an appropriately qualified healthcare professional.

The availability of information about a particular medication, treatment, condition, or service does not mean that the medication, treatment, or service is appropriate for you.

17. Third-Party Services

The Services may interact with or contain links to services operated by third parties, which may include pharmacies, laboratories, insurers, pharmacy benefit managers, payment processors, scheduling services, telehealth technology providers, electronic health record platforms, pharmaceutical manufacturers, and other third parties.

Third-party services may be governed by separate terms of use and privacy policies.

Calorie Clinic does not control third-party websites or services and, to the fullest extent permitted by law, is not responsible for their independent acts or omissions, availability, content, security, policies, pricing, coverage determinations, or performance.

A link or connection to a third-party service does not necessarily constitute Calorie Clinic's endorsement of that third party.

18. Acceptable Use

You may use the Services only for lawful, personal purposes consistent with these Terms.

You agree not to:

  • access or use another person's account without authorization;

  • impersonate another person or misrepresent your identity;

  • use the Services for fraudulent or unlawful purposes;

  • attempt to gain unauthorized access to systems, accounts, networks, or information;

  • introduce viruses, malicious code, or other harmful technology;

  • interfere with or disrupt the operation or security of the Services;

  • use automated tools, bots, scrapers, or similar technologies to extract information from the Services without authorization;

  • reverse engineer, decompile, or attempt to derive source code from software used in the Services except where such restriction is prohibited by law;

  • reproduce or commercially exploit the Services or their content without authorization; or

  • use the Services in a manner that violates applicable law or the rights of another person.

19. Intellectual Property

Unless otherwise stated, the Website and its content, including text, graphics, logos, photographs, videos, designs, software, trademarks, service marks, and other materials, are owned by or licensed to Calorie Clinic Medical Corporation and are protected by applicable intellectual property laws.

Subject to these Terms, Calorie Clinic grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Website and Services for your personal, non-commercial use.

Except as expressly permitted by law or authorized in writing by Calorie Clinic, you may not reproduce, modify, distribute, sell, license, publicly display, create derivative works from, or commercially exploit Calorie Clinic content.

20. Information You Submit

You retain whatever ownership rights you otherwise have in information or materials you submit through the Services.

You authorize Calorie Clinic and its service providers to access, process, store, transmit, reproduce, and otherwise use information you submit to the extent reasonably necessary to provide, administer, secure, improve, and support the Services and as otherwise permitted by applicable law.

The handling of personal information and protected health information remains subject to applicable privacy laws, our Privacy Policy, and, where applicable, our Notice of Privacy Practices.

Nothing in these Terms authorizes Calorie Clinic to use protected health information in a manner prohibited by applicable law.

21. Availability and Modification of Services

Calorie Clinic may modify, suspend, discontinue, or change features of the Website or Services from time to time.

We do not guarantee that every feature will be available continuously or without interruption.

Certain Services may be unavailable because of maintenance, technical problems, changes in law, provider availability, geographic restrictions, or circumstances beyond our reasonable control.

22. Suspension or Termination of Access

Calorie Clinic may suspend, restrict, or terminate access to non-clinical portions of the Services when reasonably necessary, including because of suspected fraud, security concerns, misuse of the Services, unlawful conduct, threats or abusive conduct, or material violations of these Terms.

Any decision to terminate or discontinue an established healthcare provider-patient relationship will be handled in accordance with applicable law, professional obligations, and appropriate standards concerning continuity of care.

23. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NON-CLINICAL WEBSITE, TECHNOLOGY, AND GENERAL INFORMATION PROVIDED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

CALORIE CLINIC DOES NOT WARRANT THAT THE WEBSITE OR TECHNOLOGY WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALORIE CLINIC DISCLAIMS WARRANTIES REGARDING THE WEBSITE AND NON-CLINICAL SERVICES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nothing in these Terms is intended to disclaim or limit professional duties, standards of care, or other obligations that cannot lawfully be disclaimed or limited.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALORIE CLINIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE WEBSITE OR NON-CLINICAL SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALORIE CLINIC'S AGGREGATE LIABILITY ARISING FROM THE WEBSITE OR NON-CLINICAL SERVICES, EXCLUDING LIABILITY THAT CANNOT LAWFULLY BE LIMITED, WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

These limitations do not apply to liability that applicable law prohibits Calorie Clinic from excluding or limiting and are not intended to alter any professional standard of care applicable to healthcare services.

Some jurisdictions do not permit certain exclusions or limitations of liability, so some of the foregoing limitations may not apply to you.

25. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Calorie Clinic Medical Corporation and its officers, directors, employees, representatives, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

  • your unlawful or unauthorized use of the Website or Services;

  • your material violation of these Terms;

  • your infringement or violation of another person's rights; or

  • fraudulent, intentionally wrongful, or unlawful information or materials submitted by you.

This provision does not require you to indemnify any person for that person's own negligence, professional negligence, willful misconduct, or other conduct for which indemnification may not lawfully be required.

26. Governing Law

Except to the extent preempted by federal law or otherwise required by applicable law, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

27. Informal Dispute Resolution

Before initiating arbitration concerning a dispute arising from these Terms or the non-clinical Services, you and Calorie Clinic agree to make reasonable, good-faith efforts to resolve the dispute informally.

A party seeking to initiate a dispute should provide written notice describing the nature of the dispute and the requested resolution.

Nothing in this section prevents either party from seeking relief where immediate action is reasonably necessary or where applicable law does not permit an informal-resolution requirement.

28. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY.

Except for disputes excluded below or disputes that applicable law prohibits from being subjected to mandatory arbitration, disputes arising out of or relating to these Terms or the non-clinical Website and Services that cannot be resolved informally shall be resolved by binding individual arbitration administered by JAMS in accordance with the applicable JAMS rules and procedures in effect when the arbitration is initiated.

Unless the parties agree otherwise or applicable law requires otherwise, arbitration will take place in Los Angeles County, California. Remote participation may be permitted where authorized by the applicable rules or agreed upon by the parties.

Judgment on an arbitration award may be entered in any court having jurisdiction.

The allocation and payment of arbitration fees will be governed by applicable law and the applicable JAMS rules.

Small Claims

Either party may bring an individual claim in small claims court if the claim qualifies and remains within that court's jurisdiction.

Injunctive or Equitable Relief

Either party may seek temporary, preliminary, or other appropriate injunctive or equitable relief from a court of competent jurisdiction when necessary to prevent actual or threatened infringement, misappropriation, unauthorized access, or other harm for which immediate equitable relief is appropriate.

Jury Trial Waiver

BY AGREEING TO ARBITRATION, YOU AND CALORIE CLINIC WAIVE THE RIGHT TO A TRIAL BEFORE A JUDGE OR JURY FOR ANY DISPUTE SUBJECT TO THIS ARBITRATION AGREEMENT.

Class and Representative Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DISPUTES SUBJECT TO THIS ARBITRATION AGREEMENT MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual's claim, except where applicable law requires otherwise.

Arbitration Opt-Out

You may opt out of this Arbitration Agreement by providing Calorie Clinic with written notice within thirty (30) days after the date you first accept these Terms.

Your opt-out notice must include your name, contact information sufficient to identify you, and a clear statement that you wish to opt out of the arbitration provisions contained in the Calorie Clinic Terms of Use.

Arbitration Opt-Out

Calorie Clinic may provide an additional mailing address for legal notices on its Website.

Opting out of arbitration will not affect your ability to receive healthcare services from Calorie Clinic.

Severability of Arbitration Provisions

If a portion of this Arbitration Agreement is determined to be invalid or unenforceable, that portion will be severed or limited to the minimum extent necessary where permitted by law, and the remaining provisions will continue in effect.

If applicable law does not permit severance of a particular provision, the effect of that determination will be governed by applicable law.

This Arbitration Agreement will survive termination of your account or relationship with Calorie Clinic to the extent permitted by law.

29. Venue for Non-Arbitrable Disputes

For disputes arising from these Terms that are not subject to arbitration and for which venue may lawfully be selected by agreement, you and Calorie Clinic consent to the jurisdiction of the appropriate state or federal courts located in Los Angeles County, California, except where applicable law requires another jurisdiction or venue.

30. Waiver

Calorie Clinic's failure to enforce any provision of these Terms on one occasion does not constitute a waiver of that provision or of Calorie Clinic's right to enforce it in the future.

A waiver is effective only to the extent expressly provided by the party granting it.

31. Severability

Except as otherwise specifically provided in the Arbitration Agreement, if any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, and the remaining provisions will remain in full force and effect.

32. Assignment

You may not assign or transfer your rights or obligations under these Terms without Calorie Clinic's prior written consent, except where applicable law provides otherwise.

Calorie Clinic may assign these Terms in connection with a merger, reorganization, transfer of assets, change in ownership, or other lawful business transaction, subject to applicable healthcare and privacy laws.

33. Entire Agreement

These Terms, together with any policies, consents, notices, or agreements incorporated by reference or applicable to particular Services, constitute the agreement between you and Calorie Clinic concerning your access to and use of the Website and Services, except to the extent another agreement expressly governs a particular matter.

Nothing in this provision supersedes rights or obligations imposed by applicable healthcare, privacy, insurance, or other laws.

34. Changes to These Terms

Calorie Clinic may revise these Terms from time to time.

When we make changes, we will post the updated Terms and revise the "Last Updated" date above.

Where required by applicable law, we will provide additional notice or obtain additional consent before material changes become effective.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
